What is your acquisition criteria?
We work loosly on the following guidelines although we treat each opportunity individually and approach each with flexibility:
UK based, Adjusted EBITDA of £100k+, Existing management team in place, No significant debts in the business
Is this not just private equity?
No, we are more hands on. The main difference is that PE will put money in and expect a return after X time with little involvement in the business. We like to get more involved and come together as a group, sharing our strengths and working to improve on weaknesses.
How are you financing these acquisitions?
We approach each deal with a range of financing methods which tend to be used in combination rather than sticking to a single approach. To mention a few, we use: Cash purchase, Leveraged buyouts, Earnouts, Asset purchases, Consult for equity and Profit shares.
Will you keep me/my staff on?
We are buying proven, successful businesses. We are not in the game of stripping businesses or clearing house. We tend to look to enhance the capabilities of the existing teams and if there is a role and desire for you to stay on, that rarely poses a problem for us and is often a potential selling point.
What is your process for valuing a business?
We work on an EBITDA multiple primarily but there is flexibility with this approach as, like any tool, it has its uses but isn't always perfect. At a high level we then take into consideration any adjustments and risks that need to be managed before coming to an initial offer. Finally, that offer is adjusted to reflect any findings as we go through due diligence etc.
